A beneficial owner holding shares in a public listed company is entitled to injunctive reliefs under s. 351 of the Companies Act 2016

A beneficial owner holding shares in a public listed company is entitled to injunctive reliefs under s. 351 of the Companies Act 2016. This was held in the recent High Court case of Pop Investments Ltd v iCapital.Biz Bhd [2025] 9 MLJ 331. The learned judge observed that a narrow construction of the term ‘interest’ to only mean legal or proprietary interests would restrict the scope and application of s 351 and in turn would be contrary to the legislative intent to protect the interests of various stakeholders against a company’s contravening conduct. This marks an important development to the application of our s. 351 of the Companies Act 2016.
